Welcome to RateMyPrompt.ai, operated by SC INGENIUM SYM SYSTEMS SRL, a company registered in Romania, Fiscal Code 45525361, Trade Registry No. J05/152/2022, with its registered office in Oradea, Romania ("RateMyPrompt.ai").

By accessing or using our services, you agree to these Terms and Conditions. These Terms apply to all users and visitors. Please read them carefully as they govern your use of the platform, including all features, content, and services provided.

By accessing RateMyPrompt.ai, you acknowledge that you have read, understood, and agree to comply with these Terms and Conditions. If you do not agree with these terms, you must refrain from using our platform.

2. Definitions

Platform: Refers to RateMyPrompt.ai, including all services, features, and content provided via the platform.

User: Any individual who accesses or uses the platform, regardless of whether they have registered for an account.

Account: A personal profile created by the user to access services.

Prompt: Any text or input submitted by the user for optimization purposes.

Subscription: The paid model that grants access to certain features or services.

GDPR: The General Data Protection Regulation (EU) 2016/679, a regulation on data protection and privacy in the European Union.

3. Account Registration and Access

To access our services, you must register for an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must promptly notify us of any unauthorized use of your account or breach of security.

By registering, you confirm that:

You are at least 18 years old.

All information you provide is accurate and up to date.

You will not share access to your account or use it for any illegal purposes.

You agree to the processing of your data as per our Privacy Policy.

Any misuse, including reverse engineering, sharing access, or unauthorized commercial use, will result in the termination of your account and may result in legal action. You are solely responsible for keeping your login credentials secure. RateMyPrompt.ai is not liable for unauthorized access to your account resulting from your failure to safeguard your credentials.

4. Subscription and Payment Terms

Our platform offers subscription-based services, including monthly, annual, and Pay-As-You-Go plans. Subscriptions auto-renew unless canceled before the next billing cycle. Payments are processed via trusted third-party providers (e.g., Stripe).

Refunds

We reserve the right to offer refunds solely at our discretion. Subscription cancellations will take effect at the end of the current billing cycle, and credits are non-refundable. Add-on packages and Pay-As-You-Go services are non-refundable once purchased.

Any disputes over payments should be raised with us within 30 days of the charge, after which no compensation will be granted.

You acknowledge that all payments for services are final. We are not liable for any issues arising from third-party payment providers (such as Stripe). Any disputes regarding charges must be handled directly with the provider. Refunds are offered solely at our discretion, and RateMyPrompt.ai is not responsible for any payment failures, chargebacks, or other transactional issues.

As required by Romanian consumer protection laws, users who purchase subscriptions online may have the right to cancel their subscription within 14 days of purchase, provided no services have been used within this period.

No Refunds: Unless explicitly stated, we do not guarantee refunds for any service interruptions, errors, or failures. All sales are final.

5. Intellectual Property Rights

All content, software, designs, trademarks, and intellectual property rights related to RateMyPrompt.ai are owned by us. Users are granted a limited, non-exclusive, revocable license to access and use the platform for personal, non-commercial purposes.

Users are prohibited from reproducing, distributing, or modifying any part of the platform without prior consent or engaging in activities that would infringe upon our intellectual property, including reverse engineering or replicating the platform’s functionality.

Users must ensure that any content they submit to the platform does not infringe upon the intellectual property rights of any third parties. SC INGENIUM SYM SYSTEMS SRL reserves the right to remove such content and may pursue legal remedies if necessary.

Violation of this section may result in the immediate termination of access and legal action.

The software and systems powering RateMyPrompt.ai are provided without warranties of any kind, either express or implied. We disclaim any responsibility for the functionality, reliability, or fitness of the platform’s systems or software.

6. Limitation of Liability and Disclaimers

RateMyPrompt.ai is provided "as is" and "as available" without warranties or guarantees of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We expressly disclaim any liability for:

Service Interruptions: We are not liable for any interruptions, delays, or unavailability of the platform. While we strive to ensure consistent access, we do not guarantee uninterrupted service. We may temporarily suspend access to the platform for maintenance or updates without prior notice. RateMyPrompt.ai is not liable for any damages resulting from such interruptions.

Errors or Omissions: We are not liable for any errors or omissions within the platform, including incorrect prompt optimizations or inaccuracies in the results.

Data Loss: We disclaim all responsibility for any loss of data during your use of the platform, including but not limited to loss due to technical issues, errors, or unauthorized access.

Third-Party Services: We are not liable for any damages or losses resulting from third-party services, such as payment processing providers (e.g., Stripe). You agree that use of third-party services is at your own risk.

Consequential or Indirect Damages: Under no circumstances shall we be liable for any indirect, special, incidental, or consequential damages (including but not limited to loss of profits, revenue, business, or data) arising out of or in connection with your use of the platform.

User Actions: We are not liable for actions or decisions you take based on the outputs of the platform, including but not limited to business, legal, or personal decisions.

Indemnification

You agree to indemnify and hold RateMyPrompt.ai harmless from any claims, damages, liabilities, or expenses (including attorney fees) arising out of your use of the platform, any violation of these terms, or any illegal use of the service.

No Warranties

We make no representations or warranties that the service will meet your requirements or expectations or that the results of the service will be accurate, reliable, or suitable for any particular purpose.

7. User-Generated Content

Users retain ownership of the prompts they submit for optimization. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process your content for the purpose of providing and improving the service.

We do not claim ownership over any user-generated content, but we reserve the right to remove or refuse content that violates these Terms or any applicable law.

Restrictions

You must not submit content that is illegal, harmful, or violates intellectual property rights. RateMyPrompt.ai is not responsible for the integrity, accuracy, or quality of user-generated content. We disclaim all liability for user-generated content, including its storage, loss, misuse, or unauthorized access.

By using our platform, you agree that we will not be held liable for any damage resulting from the submission, storage, or processing of your prompts. You are solely responsible for ensuring that your content complies with all relevant laws and does not infringe upon the rights of third parties.

By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, process, and, if necessary, anonymize or delete the content for compliance or operational purposes.

8. Data Protection and Privacy

We collect, store, and process personal data in accordance with the General Data Protection Regulation (GDPR) and our Privacy Policy. By using the platform, you agree to our collection and use of your data as outlined therein.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of Romania and the European Union. By using this platform, you submit to the exclusive jurisdiction of Romanian courts. Any disputes arising under these Terms will be resolved first through good-faith negotiations or arbitration in Oradea, Romania, in accordance with Romanian law. If these efforts fail, disputes will be resolved in Romanian courts.

10. Termination of Service

We reserve the right to suspend or terminate your account at any time without notice for violation of these Terms or any applicable laws. Upon termination, you must cease using the platform, and any outstanding payments will remain due.

If your account is terminated, you agree that you will not create another account without our express permission. RateMyPrompt.ai shall not be liable for any damages, including lost profits, arising from the suspension or termination of your account.

If your account is terminated due to violations of these Terms, you remain liable for any outstanding payments owed to RateMyPrompt.ai.

11. Amendments to the Terms

We reserve the right to modify these Terms and Conditions at any time. Any changes will be effective immediately upon posting. Your continued use of the platform after changes are posted constitutes your acceptance of the new Terms. It is your responsibility to review these Terms periodically.

12. Service Changes and Updates

We reserve the right to modify, suspend, or discontinue any aspect of the platform at any time without prior notice. RateMyPrompt.ai shall not be liable for any disruptions, errors, or losses resulting from these updates or changes. We do not guarantee that new features or updates will be error-free or will function as expected.

13. No Liability for User Actions

RateMyPrompt.ai provides tools and resources for prompt optimization, but we do not guarantee that the outputs will meet your expectations or be appropriate for your intended purposes. We are not responsible for any actions you take as a result of using the platform, including but not limited to legal, business, or personal decisions. You agree that RateMyPrompt.ai is not liable for any outcomes, losses, or damages arising from your use of the platform.

12. Force Majeure Clause

SC INGENIUM SYM SYSTEMS SRL shall not be held liable for any delay or failure in performance caused by circumstances beyond its reasonable control, including but not limited to natural disasters, governmental actions, or technical disruptions.
